Terms of Service

Introduction

Welcome to Pepton Health. These Terms of Service ("Terms") govern your access to and use of the website located at peptonhealth.com (the "Site"), our mobile applications, and all related services, features, and content (collectively, the "Services") provided by Pepton Health LLC ("Pepton," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Services Overview, Availability, and Eligibility

Pepton Health operates a telehealth platform that facilitates asynchronous consultations between patients and independently licensed US physicians. Pepton does not provide medical care directly. Physicians on our platform are independent contractors responsible for their own clinical decisions.

To use the Services, you must be at least 18 years of age, a legal resident of the United States, and located in a state where our Services are available. By using the Services, you represent and warrant that you meet these eligibility requirements.

The Services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department immediately.

2. Platform Services

Your Relationship With Pepton

Pepton provides a technology platform that connects you with licensed healthcare providers. Pepton itself does not practice medicine, provide medical advice, diagnose conditions, or prescribe medications. The healthcare providers accessible through our platform are independent practitioners who exercise their own medical judgment.

No Insurance Accepted; Notice of Your Financial Responsibility

Pepton does not accept health insurance. You are financially responsible for all charges associated with the Services. Many HSA and FSA cards are accepted for most visits and prescriptions. Pricing is transparent and displayed before you complete your purchase.

Pharmacy Services

Prescription medications, when prescribed, are fulfilled by state-licensed US compounding pharmacies in our network. Compounded medications are customized preparations that are not FDA-approved for safety, efficacy, or manufacturing quality. The FDA does not verify the safety or effectiveness of compounded drugs.

3. Registration and Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Privacy

Your use of the Services is also governed by our Privacy Policy and HIPAA Notice of Privacy Practices, which are incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in those policies.

5. Ownership and License to Use the Services

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, images, software, and trademarks — are owned by Pepton Health or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

6. User Content

You may submit content through the Services, including health information, intake forms, messages, and feedback ("User Content"). You retain ownership of your User Content but grant Pepton a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve the Services. You represent that you have the right to submit such content and that it does not violate any third-party rights.

7. Restrictions on Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Impersonate any person or entity or misrepresent your identity or affiliation
  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
  • Use any robot, spider, scraper, or other automated means to access the Services
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Reproduce, distribute, modify, or create derivative works of any content on the Services without our prior written consent
  • Use the Services to transmit any viruses, malware, or other harmful code
  • Seek to obtain prescriptions for anyone other than yourself

8. Prescription Medications

Prescriptions are issued only when clinically appropriate in the independent medical judgment of a licensed physician after review of your health intake. Submission of an intake form does not guarantee issuance of a prescription. If a provider determines that a prescription is not appropriate for you, you will be notified and may be eligible for a refund per our refund policy.

Compounded medications are prepared at state-licensed US compounding pharmacies. Compounded drugs are not FDA-approved. The FDA does not verify the safety, effectiveness, or quality of compounded drugs. Medications are dispensed only to the patient for whom they are prescribed and may not be transferred, shared, or resold.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEPTON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. PEPTON DOES NOT GUARANTEE ANY SPECIFIC MEDICAL OUTCOMES OR RESULTS FROM USE OF THE SERVICES OR ANY PRESCRIBED MEDICATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PEPTON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF PEPTON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PEPTON'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO PEPTON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pepton and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your User Content.

12. Third-Party Links

The Services may contain links to third-party websites or services that are not owned or controlled by Pepton. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Pepton shall not be responsible or liable for any damage or loss arising from your use of any third-party websites or services.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Services prior to the changes taking effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

14. Payments

By purchasing a subscription or treatment plan through the Services, you agree to pay all fees and charges associated with your account. All prices are displayed in US dollars. You authorize Pepton to charge your designated payment method for all fees incurred. Prices are subject to change, but changes will not affect active subscription periods.

15. Refund and Treatment Availability Policy

Refund eligibility is governed by our Returns & Refunds Policy. In general, if a provider determines that treatment is not appropriate for you and no medication has been dispensed, you may be eligible for a refund. Once medication has been compounded and shipped, refunds may not be available due to the customized nature of compounded medications.

16. Subscriptions and Cancellation

Subscriptions renew automatically at the end of each billing cycle until canceled. You may cancel your subscription at any time before your next billing date through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall continue in full force and effect.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

19. Communications

By creating an account, you consent to receive communications from Pepton by email, text message, push notification, or other electronic means. You may opt out of promotional communications at any time, but you may not opt out of transactional communications related to your account, treatment, or prescriptions. Message and data rates may apply for text messages.

20. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. These Terms constitute the entire agreement between you and Pepton regarding the Services and supersede all prior agreements.

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Pepton may assign these Terms without restriction.
